Structure Before Capital

Equis Capital Finance operates as an independent capital advisor, supporting sponsors and enterprises in preparing and structuring transactions for engagement with institutional and private capital sources.

Our work is grounded in a simple principle:

capital flows to structure, discipline, and credible execution.

Through our advisory practice, we assist clients in transforming business plans, development initiatives, and corporate transactions into capital-ready opportunities capable of withstanding institutional underwriting scrutiny.

This preparation is typically undertaken through our advisory frameworks, including Project Navigator™ and TECS™ (Transaction Execution & Capital Structuring).

Engagement With Capital Markets

Equis maintains ongoing professional engagement with a wide range of capital market participants across Canada and the United States.

These engagements reflect transaction experience, disciplined structuring, and professional credibility developed over time.

They are not product arrangements, lending programs, or exclusive lender relationships.

Capital sources typically engaged in transactions we advise on include:

  • Canadian and U.S. chartered banks
  • Mortgage Investment Corporations (MICs)
  • Pension and insurance capital
  • Credit unions and trust companies
  • Family offices and private capital groups
  • Specialty and structured finance providers

Each transaction is evaluated and positioned according to its risk profile, capital structure, asset characteristics, and execution requirements.

The objective is not simply to identify capital — but to align the right capital with the right structure.

Our Advisory Role

Equis acts as an independent intermediary and capital structuring advisor.

Our role is to assist clients in preparing and presenting transactions that meet the expectations of sophisticated capital providers.

This typically involves:

  • structuring transactions consistent with underwriting realities
  • preparing disciplined, lender-ready materials
  • aligning capital strategy with execution risk and sponsor capability
  • managing professional engagement with capital sources where appropriate

Capital providers independently evaluate each opportunity according to their own mandates, risk tolerances, and credit processes.

All financing decisions remain entirely at the discretion of the capital provider.

Equis does not guarantee funding outcomes and does not control credit approvals.

Selective Engagement

Institutional capital is selective by nature.

Not every project or financing request is suitable for capital market engagement.

Equis therefore works selectively with sponsors and enterprises who demonstrate:

  • clear transaction structure
  • realistic financial assumptions
  • disciplined execution planning
  • credible sponsorship and governance

This discipline protects both our clients and the capital providers who evaluate transactions we advise on.

Specialized Capital Contexts

Depending on the nature of the transaction, Equis may advise on engagement with capital providers experienced in areas such as:

  • development and construction financing
  • bridge and transitional capital
  • structured and specialty finance
  • restructuring or distressed-adjacent situations
  • growth equity and venture-stage capital

These references describe capital market contexts, not financial products offered by Equis.

Independence

Equis Capital Finance is independent.

We are not tied to any single lender, fund, or capital source.

This independence allows us to provide objective advice regarding whether, when, and how capital markets should be approached, and which capital providers may be appropriate for a particular transaction.

Our focus is not simply introducing capital — but structuring transactions capable of attracting it.

Regulatory and Role Clarification

Equis Capital Finance acts solely as an intermediary and capital advisory firm.

We are not a lender and do not provide credit, guarantees, or commitments of financing.

All financing transactions remain subject to third-party lender discretion, underwriting review, and customary due diligence.

Where a transaction constitutes a traditional mortgage or otherwise falls within regulated mortgage brokerage activity, such transactions are handled through a separately licensed mortgage brokerage in accordance with applicable regulatory requirements, including those governed by the Financial Services Regulatory Authority of Ontario (FSRA).
